Standard terms of business – SK Studio Design Ltd – 2026
SK Studio Design Ltd is committed to providing a high-quality, professional service at a fair cost and we aim to ensure all clients are satisfied with our work.
These terms of business set out clearly what you can expect from us and what we require from you. These terms apply to all work carried out for you by SK Studio Design Ltd. In acting on your behalf, we rely on you to provide all relevant information promptly and to notify us as soon as possible of any changes that may affect the work in hand. We will keep you updated on the progress of your work, but you are welcome to contact us at any time with questions.
Our services
We provide a comprehensive range of creative and commercial design services.
Skill and care
We will use reasonable skill and care in the delivery of our services.
Confirmation of order – billing & payment terms
Our standard payment terms are:
- 25% upon receipt of order
- Final payment on delivery
All invoices are payable upon receipt and must be settled no later than 30 days unless otherwise agreed. Overdue invoices may be sent to collections. Verbal orders are accepted but SK Studio Design Ltd will not be held responsible for any mistakes arising from them.
Instructions
Instructions should preferably be sent by e-mail, or other agreed form. If instructions are given verbally, any written confirmation sent by SK Studio Design Ltd will be considered accurate unless you respond immediately with corrections. By accepting these terms, you consent to communication by e-mail or other electronic methods.
Please identify any authorised company officers who may instruct us on your behalf.
Conflict of interest
If a conflict arises that affects your project, we will notify you immediately. We may need to decline work if such a conflict cannot be resolved.
Our charges
Charges are fair and reasonable, reflecting the complexity of the work, skill required, and time spent. Our minimum charge period is 30 minutes, with subsequent time billed in 30-minute increments. Rates are reviewed annually. VAT (where applicable) and any third-party expenses are added to charges.
Price and payment
Invoices are payable in full immediately on receipt or within any agreed credit period. Overdue payments may incur interest at Bank of Scotland base rate + 8%, and clients are responsible for any collection costs. All digital files remain the property of SK Studio Design Ltd until full payment is received.
Estimates
Estimates assume that the materials provided by the client are final and require no further amendment. Estimates are non-binding, based on prior experience, and are exclusive of VAT unless stated otherwise. A maximum of two rounds of proofs/changes are included; additional amendments will be charged at our standard rates. Estimates are valid for 28 days.
Discounts
Discounts or refunds are not standard practice.
Project cancellation
If a project is stopped by either party, SK Studio Design Ltd will invoice for work completed up to that point.
Default in payment
The client is responsible for all collection or legal fees resulting from non-payment.
Alterations
SK Studio Design Ltd reserves the right to adjust costs if project scope changes or exceeds budget.
Website design
Website projects incur an initial design fee plus a cost per page, agreed prior to work. Unpaid work may be removed until payment is received. All websites are subject to a domain lock and will only be transferred for a £350 fee, plus VAT.
Ownership transfer or website termination requires a written request, with payment made within 14 days, and will be processed within 10 business days. SK Studio Design Ltd retains copyright of all work until full payment is received.
Contingency costs
Additional costs may apply for rush jobs or scope changes beyond the contract.
Turnaround times
Clients should allow realistic production times. SK Studio Design Ltd accepts no liability for missed deadlines caused by client delays, production constraints, or external factors.
Uncollected work
Materials not collected within 12 months may be disposed of at our discretion.
Copyright, moral rights, and consents
Clients warrant that they own or have permission for all materials supplied. SK Studio Design Ltd retains copyright on all created digital files. Clients indemnify SK Studio Design Ltd against any breach of copyright or privacy.
Liability
Any invoice or work-related complaints must be raised within 7 days. SK Studio Design Ltd’s liability is limited to the replacement cost of materials, and we are not responsible for indirect losses.
Confidentiality
All client matters are treated confidentially unless disclosure is authorised or required by law.
Security and lien
We secure all client documents. Unpaid invoices may result in a lien on your materials until payment is made.
Limitation
SK Studio Design Ltd is not responsible for losses resulting from incomplete or incorrect information supplied by the client.
Amendment
These terms may be amended by SK Studio Design Ltd at any time. It is the client’s responsibility to review and understand these terms.
Governing law
These terms are governed by Scots law and subject to the exclusive jurisdiction of the Scottish courts.
